Introduction

These Terms of Service (the “Terms”) govern your access to and use of the WhiteLabelPR website, platform and related services (the “Service”), operated by [Company legal name] (“WhiteLabelPR”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of a business, you confirm that you have authority to bind that business.

WhiteLabelPR provides white label PR software that lets agencies, freelancers and marketers (“Resellers”) run their own branded PR storefront and dashboard, import PR providers and resell PR services, including press release distribution, to their own clients (“End Clients”).

1. Your account

You must give accurate information when you register, keep your login details secure and tell us promptly about any unauthorized use of your account. You are responsible for all activity under your account. You must be at least 18 years old and able to enter into a binding contract.

2. Acceptable use

You must not use the Service to submit, distribute or promote content that is unlawful, defamatory, fraudulent, misleading or deceptive, that infringes anyone’s intellectual property or privacy rights, that promotes hatred or violence, or that breaches securities, advertising or consumer protection rules. Press releases must be factual, must clearly identify the organization issuing them and must not impersonate any person or organization.

You must not interfere with or disrupt the Service, attempt to access accounts or data that are not yours, reverse engineer the platform, send spam or use the Service to distribute malware. We may remove content, refuse orders or suspend accounts that we reasonably believe breach this section.

3. Reseller responsibilities

If you resell services through your storefront, you are the contracting party for your End Clients. You are responsible for your own prices, terms of sale, invoices, taxes, refunds and client support, and for the promises you make to your End Clients. You must make sure your End Clients follow the acceptable use rules in these Terms, and you are responsible for the content they submit through your storefront.

You must not present yourself as WhiteLabelPR, and you must not state or imply that a publication or placement is guaranteed unless the relevant service expressly says so. You are responsible for having a lawful basis for any End Client personal data you put into the Service, and for giving your End Clients appropriate privacy information.

4. Plans, billing and the free plan

The Service is offered on a free plan and on paid subscription plans, as described on our pricing page. Paid plans are billed in advance on a recurring basis until cancelled. PR services ordered through the platform are charged per order at the price shown when the order is placed. Prices exclude taxes unless stated otherwise.

You can change or cancel your plan at any time; cancellation takes effect at the end of the current billing period. Except where the law requires otherwise, fees already paid are [non-refundable / refund policy to be confirmed]. We may change our prices or the features of any plan, including the free plan, by giving reasonable notice. If a payment fails, we may suspend paid features until it is settled.

5. Orders and third-party publishers

PR services are fulfilled by third-party PR providers, distribution partners and publishers. These third parties apply their own editorial guidelines and may decline, edit, reformat, label, delay or remove content at their discretion. We do not control their decisions, and we do not guarantee that any particular outlet will publish a release, that it will stay published for any period, or that it will achieve any ranking, coverage or commercial result.

6. Intellectual property

We and our licensors own the Service, including the software, the design and the WhiteLabelPR name and logo. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms, including to present it to your End Clients under your own brand.

You keep ownership of the content that you and your End Clients submit. You grant us, our PR providers and publishers a worldwide, non-exclusive license to host, reproduce, format, distribute and publish that content as needed to provide the services you order, and you confirm that you have the rights needed to grant this license.

7. Third-party services

The Service may integrate with third-party tools, such as payment processors and PR providers. Your use of those tools is subject to their own terms, and we are not responsible for them.

8. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we exclude all implied warranties, including satisfactory quality, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free. Nothing on the Service is legal, financial or investment advice.

9. Limitation of liability

Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence. Subject to that, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising out of or in connection with the Service in any 12-month period is limited to the greater of the fees you paid us in that period and [Liability cap amount].

You agree to indemnify us against claims, losses and costs arising from content submitted through your account or storefront, from your dealings with your End Clients, or from your breach of these Terms.

10. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if your use creates risk for us, our partners or other users. We may also discontinue the Service on reasonable notice.
